Terms of Service

These Terms set out the rules for services provided electronically through the website staynaut.com and the application app.staynaut.com. They are the terms referred to in Art. 8 of the Polish Act of 18 July 2002 on providing services by electronic means. This is a translation. In case of any discrepancy, the Polish version prevails.

1. Definitions

  • Provider: Jan Strózik, a sole trader operating as Jan Strózik, ul. Jerzego Samuela Bandtkiego 19A/9, 30-129 Kraków, Poland, tax ID (NIP) 6772525869, REGON 541836662, email hello@staynaut.com.
  • Service: the staynaut.com website (Website) and the app.staynaut.com application, including the Dashboard and Guides.
  • Staynaut: the service of creating a digital guide to an apartment and its neighbourhood and making it available to guests.
  • Host: a natural person, legal person or organisational unit that creates an Account to build Guides for their apartments.
  • Consumer: a Host who is a natural person entering into the contract for purposes not directly related to their business or profession.
  • Sole trader with consumer rights: a Host who is a natural person running a business, for whom the contract is not of a professional nature (Art. 38a of the Polish Consumer Rights Act).
  • Guest: a person using a Guide, usually without an account.
  • Account: the Host’s individual account in the Dashboard.
  • Dashboard: the part of the application available after logging in, where the Host creates and manages Guides.
  • Guide: a web page for Guests of a given apartment, opened from a QR code or link.
  • Host Content: any information, text, photos and other materials added by the Host.
  • Partner: a third party providing services to Guests (e.g. an airport transfer) whose offer may be shown in a Guide.
  • Plan: the paid package chosen by the Host (e.g. Solo, Pack of 5, custom quote), defining the number of apartments and the price.
  • Free trial: a 14-day period of free use of Staynaut from the creation of the Account.

2. General provisions and technical requirements

Browsing the Website and use of Guides by Guests is free of charge. Using the Dashboard after the Free trial is paid according to the chosen Plan.

To use the Service you need a device with internet access and an up-to-date web browser with JavaScript and cookies enabled; for the Dashboard, also an active email address.

No one may provide unlawful content, content infringing third-party rights or public decency, or take actions that disrupt the Service.

3. Services

Free of charge, the Provider makes available the Website content, the sign-up and contact form, and Guest access to Guides. For a fee (after the Free trial), it provides the Account and the Dashboard, including creating Guides, generating QR codes, visit statistics and content translation.

A Guide combines Host Content with the Staynaut city guide (places, routes, events, maps, weather). This information is indicative: opening hours, prices, walking times and event dates may change. The Provider makes efforts to keep it up to date but does not guarantee it is complete.

Automatic translations are machine-generated, may contain errors and are labelled in the Guide. The Host can correct them in the Dashboard at any time.

4. Host Account

An Account is created by completing the registration form in the application and accepting these Terms. Creating the Account concludes a contract for Staynaut for an indefinite period.

The Host provides true data, keeps it up to date and does not share their password with third parties. The Host is responsible for actions taken using their Account.

5. Free trial, prices and payments

For 14 days from creating the Account, the Host uses Staynaut free of charge. The Free trial does not require card details and does not automatically turn into a paid Plan.

Continued use of the Dashboard and publication of Guides after the Free trial require choosing and paying for a Plan. Current prices are shown in the price list on the Website and in the Dashboard; they are gross prices (including VAT). For 6 or more apartments the price is agreed individually.

The Plan fee is paid in advance for the billing period (monthly or yearly) on the basis of a VAT invoice, within 14 days of issue. The Host agrees to receive invoices electronically.

If payment is not made on time, the Provider may, after a payment reminder setting an additional deadline of at least 7 days, suspend publication of Guides until the amount due is paid.

The Provider notifies the Host of price changes by email at least 30 days in advance. New prices apply from the next billing period; a Host who does not accept them may terminate the contract before they take effect.

Physical QR materials (e.g. stickers, stands), if offered, are ordered in the Dashboard. The price and delivery cost are shown before the order is placed, and the sale is governed by the Polish Civil Code.

6. Host Content

The Host is responsible for Host Content, including its lawfulness and accuracy, and declares that they have the right to use it, in particular to any photos they upload.

The Host grants the Provider a free, non-exclusive licence to use Host Content to the extent necessary to provide Staynaut: storing, reproducing (e.g. resizing photos), translating and making it publicly available in Guides. The licence ends when the content or the Account is deleted.

The Provider does not monitor Host Content on an ongoing basis. Anyone can report content they consider illegal by writing to hello@staynaut.com. The report should include the Guide address, a description of the content and the reasons. The Provider handles reports promptly and may block or remove unlawful content, informing the Host with a statement of reasons. This address is also the point of contact for authorities and users under the Digital Services Act (DSA).

7. Data processing on behalf of the Host

To the extent Host Content contains personal data for which the Host is the controller, the Host entrusts the Provider with processing it under Art. 28 GDPR, solely for the purpose and to the extent necessary to provide Staynaut, for the duration of the contract. These Terms constitute the documented instructions for processing.

The Provider undertakes to: process the data only on the Host’s instructions; ensure the confidentiality of persons with access to it; apply appropriate security measures (Art. 32 GDPR); assist the Host in responding to data subjects’ requests and with obligations under Arts. 32-36 GDPR; notify personal data breaches without undue delay; delete the data after the contract ends (except where law requires retention); and make available the information needed to demonstrate compliance and allow audits.

The Host gives general authorisation for the sub-processors listed in the Privacy Policy (hosting, translation). The Provider will announce intended changes by email, and the Host may object.

Processing of data for which the Provider is the controller is described in the Privacy Policy.

8. Guests and Partner services

Guests use Guides free of charge and without an account. Plans and decisions made on the basis of a Guide (e.g. choosing a route or venue) are the Guest’s own responsibility.

Through a Guide, a Guest may send a request to book a Partner’s service. The Provider only passes the request on to the Partner and the Host. It is not a party to the contract for the Partner’s service and is not responsible for its performance. Terms and payment are agreed by the Guest directly with the Partner.

9. Intellectual property

The software, the look of the Service, the Staynaut mark and the Staynaut city guide content are protected by law and belong to the Provider or its licensors. They may not be copied or distributed without the Provider’s consent beyond normal use of the Service. Map data © OpenStreetMap contributors.

10. Availability and liability

The Provider makes efforts to keep the Service running without interruption, but technical breaks may occur, in particular for maintenance and updates. The Provider tries to announce longer planned breaks in advance.

The Provider is not responsible for Host Content, Partner services, third-party information (e.g. maps, weather) or the consequences of a Host providing untrue data.

Towards Hosts who are neither Consumers nor Sole traders with consumer rights, the Provider’s liability is limited to actual loss and to the fees paid by the Host in the 12 months preceding the event. This limitation does not apply to damage caused intentionally.

11. Complaints

Complaints about the Service can be sent to hello@staynaut.com. A complaint should include contact details, a description of the problem and the expected resolution.

The Provider handles a complaint within 14 days of receipt and replies to the email address it was sent from.

12. Termination

The Host may cancel Staynaut at any time by writing to hello@staynaut.com. The contract ends at the end of the paid billing period; fees for the unused part of the period are not refunded unless the law provides otherwise.

The Provider may terminate the contract with 30 days’ notice for important reasons (e.g. discontinuing Staynaut) or with immediate effect if the Host seriously or persistently breaches these Terms despite a request to stop.

After termination, the Account and Host Content are deleted within 30 days, except data the Provider must keep by law (e.g. invoices).

13. Provisions for Consumers and Sole traders with consumer rights

A Consumer or Sole trader with consumer rights may withdraw from a distance contract within 14 days of its conclusion without giving a reason, by sending a statement to hello@staynaut.com. If, at their express request, they started using a paid Plan before that period ends, they will pay for the service provided up to the withdrawal.

Provisions limiting the Provider’s liability do not apply to Consumers and Sole traders with consumer rights where this would be contrary to law.

Consumers may use out-of-court complaint and redress procedures, including help from municipal or district consumer ombudsmen and the Provincial Inspectorate of Trade Inspection (WIIH).

14. Changes and final provisions

The Provider may amend these Terms for important reasons, in particular: changes in law, changes in the scope or manner of providing Staynaut, or security needs. Hosts with an Account will be notified by email at least 14 days before changes take effect. A Host who does not accept the changes may terminate the contract before that date.

Matters not covered here are governed by Polish law, in particular the Civil Code, the Act on providing services by electronic means and the Consumer Rights Act. Disputes with Hosts who are neither Consumers nor Sole traders with consumer rights are resolved by the court competent for the Provider’s registered address.
